What operating system do you currently have? Wots the spec of your PC? if its a old machine, it might not be capable of running Windows XP, or if it does, it might be slow.
Do you want to upgrade what version of windows you currently have?
Simply put CD into drive, autoplay should kick in, then follow the simple instructions (useful for upgrades).
Just in case you end up formatting your disk, (you shouldnt do but I cant remember if there is an option to), its always worth backing up your files first before installing XP.
